PDA was created to provide owners, heirs and shareholders of family companies with an environment of study and practice. Together, they try to align responsibilities, prerogatives, rights and management strategies in order to maximize and preserve property value and to ease the company’s performance and continuity.
The leaning process is guided both by the development of concepts suitable for the needs of each group and by socialization with other families and familiar cultures and experiences.
Aspects analyzed by families that participate in the PDA include those related to trust relationship, roles and responsibilities within companies and families, legal and patrimonial issues, company management, managers’ and shareholders’ risks and responsibilities, governance organs and the relationship between them, composition of boards of directors and others. This multidisciplinary environment is ideal for the development of shareholders, regardless of whether they take active part in the management or not.

FDC: Melding theory and real-life practices
“The PDA Program was very important for most of the 24 members of our family who participated in it. It represented an essential step both towards growth and development of new generations and to help them discover the importance of being prepared to be shareholders in the future. “I believe that my family’s participation in PDA was a milestone both in the development of Family Mazon’s Corporate Governance and in the qualitative evolution of management within the Santa Cruz Group. In 1993, we started to structure governance organs in the company and, with the help of family members who participated in PDA, evolution of governance has been surprising.
The third generation is now more active, deserving higher levels of credibility and autonomy from the family and participating more earnestly in the solution of crucial issues of the family business.
The Family Council has evolved substantially, now with a clearer differentiation between the roles of family members and partners.
On the other hand, the Board of Directors has been largely improved by the participation of PDA professors. Up to now, 35 people have already taken part in 3 PDA classes. We now believe that all family members should participate.
